Terms of Service
Effective date: September 30, 2026
These terms are an agreement between you and Sierra Kaze LLC, a California limited liability company ("Live Earnings", "we", "us"). They cover live-earnings.com, our API and SDKs, and our MCP server (together, the "Service").
By accessing or using the Service, you agree to these terms. If you do not agree, do not create an account or use the Service. Our Privacy Policy explains how we handle personal information.
1. The Service
Live Earnings transcribes public companies' earnings calls and attributes each part of a call to the named executive or analyst who spoke. You can read calls on our website, retrieve them through our API, or ask about them through an AI app connected to our MCP server.
The Service is currently free. If we introduce paid features, we will show the price and payment terms before you choose them, and we will not charge you without your agreement.
2. Your account
Eligibility.
- You can sign in with Google, or create an account with an email address and password. Keep your details accurate.
- You must be at least 16. If you are under the age of majority where you live, a parent or guardian must agree to these terms for you.
- If you use the Service for an organization, you must have authority to bind it.
Keeping your account secure.
- You are responsible for activity you authorize, and for taking reasonable care of your account and credentials.
- Do not publish or share passwords, access keys or tokens.
- Email support@live-earnings.com promptly if you suspect unauthorized access.
AI apps you connect.
- A connected AI app can read the calls available to you until its authorization is revoked or expires.
- The app's summaries, interpretations and actions are its own outputs and may differ from what we supplied, so check important conclusions yourself.
- These terms do not reduce our responsibility for our own obligations.
3. Acceptable use
Automated access through our documented API, SDKs and MCP server is welcome. You agree not to:
- break the law or infringe anyone's rights;
- bypass access controls, rate limits or security, or use someone else's account or credentials;
- exceed documented rate, concurrency or retry limits, or send requests in a way that materially disrupts the Service;
- use the output beyond the licence in section 4;
- present our speaker attributions as verified or official.
4. Content, licence, accuracy, and no advice
Ownership.
- We and our licensors keep all rights in the Service's software, design and original materials.
- Third-party statements, recordings, names and other materials remain subject to their owners' rights.
- We claim no exclusive rights in facts.
Your licence to the output.
- Subject to these terms, and to the rights we are entitled to grant, you may use the Service and its output for personal research and internal business analysis, including through authorized API and AI-app integrations.
- You may quote limited excerpts in your own research or commentary. Credit Live Earnings and note that the transcript is automated.
- Without our written permission, you may not sell, sublicense or redistribute a substantial collection of transcripts, or offer the output as a competing transcript service or data feed.
- Nothing here restricts uses the law independently allows.
SDK licence.
- Unless an SDK comes with its own licence, you may install, copy and modify it to connect your applications to the Service.
- You may distribute it inside those applications, keeping the copyright notices.
- This does not widen your rights to Service content.
Accuracy.
- Transcripts, speaker labels, summaries, insights, predictions and price information may be incomplete, delayed or wrong, and live content may be revised.
- Predicted questions and AI interpretations are generated analysis, not statements by the people named.
- Check anything important against the company's own materials.
Not official. Live Earnings is not affiliated with, endorsed by or sponsored by the companies whose calls it covers. Our transcripts are not official records.
Not investment advice.
- The Service provides general information, not personalized investment, financial, legal or tax advice, a recommendation, or an offer to deal in securities.
- It does not assess whether any investment suits you.
- Predictions and past results do not guarantee future outcomes. Your investment decisions are your own.
5. Availability and changes
The Service may be interrupted, delayed or unavailable, including during a live call because of problems at the broadcaster or at our providers. We may change, suspend or discontinue features, including coverage of a particular call.
Where practicable, we will give advance notice of material discontinuations and incompatible changes to documented interfaces. Urgent security or legal changes may take effect sooner.
6. Disclaimers and limitation of liability
What these terms never limit. Nothing in these terms excludes or limits liability for:
- fraud or fraudulent misrepresentation;
- willful misconduct or gross negligence;
- death or personal injury caused by negligence;
- anything else the law does not allow us to exclude or limit.
Nothing limits your mandatory consumer or data-protection rights.
Subject to that, and to the extent the law allows:
- No warranty. The Service is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and do not promise uninterrupted service or complete, timely or accurate content.
- No indirect damages. We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits or trading losses that fall within those categories.
- Overall cap. Our total aggregate liability arising from or relating to the Service or these terms is limited to US$100.
7. Ending your use
You can stop using the Service at any time, and ask us to delete your account under the Privacy Policy.
Suspension and termination.
- We may suspend or end your access for a material breach of these terms, a legal requirement, or a reasonably identified security or abuse risk.
- Where practicable, we will explain why and let you fix the problem. We may act immediately when delay would create risk or break the law.
- You can ask for a review at support@live-earnings.com.
When access ends.
- Stop making signed-in requests.
- Copies already held by you or your connected apps are not removed, but the content licence limits in section 4 still apply to them.
- Sections 4, 6 and 8, and any obligations already accrued, survive.
8. General
Changes to these terms.
- We will give at least 30 days' notice of material changes, through the Service and, where practicable, by email. Urgent legal or security changes may take effect sooner.
- Changes apply going forward. Where the law requires your renewed agreement, we will ask for it.
- If you do not accept a change, you can stop using the Service.
Governing law and courts.
- These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. Mandatory consumer protections where you live are unaffected.
- Subject to any mandatory right to sue elsewhere, disputes go to the state or federal courts in Santa Clara County, California.
Entire agreement.
- These terms, and any separately accepted service or software terms, govern your use of the Service.
- The Privacy Policy explains our data practices. It does not waive your statutory rights.
- If a provision is unenforceable, the rest still applies.
